Terms of Service
1. Agreement to these Terms
These Terms of Service ("Terms") are an agreement between you and Adam Sedillo-Glatt, doing business as TownRobin ("TownRobin," "we," "us," or "our"), a sole proprietorship in California.
These Terms cover your use of:
- our website at townrobin.com;
- the TownRobin Nest application at nest.townrobin.com;
- any other TownRobin websites, apps, or services that link to these Terms.
Together, these are the "Services."
You accept these Terms by checking the box to accept them when you sign in, and by creating an account, starting a trial, subscribing, or otherwise using the Services. You also acknowledge our Privacy Policy. If you do not agree, do not use the Services.
If you use the Services on behalf of an organization, such as a city, agency, station, or company, you confirm that you have authority to bind that organization to these Terms. In that case, "you" means the organization.
2. The Services
TownRobin collects meeting schedules that public bodies publish online. These include cities, counties, special districts, libraries, and similar organizations ("public entities"). The Services let you:
- follow ("watch") the meeting calendars of public entities you choose;
- filter meetings and assign them to members of your team;
- sync those meetings and assignments to Google Calendar, which sends invitations to assignees and tracks their RSVPs.
We may add, change, or remove features at any time. If we remove a core feature of a paid plan, we will give you reasonable notice. You may then cancel as described in Section 4.
We add new public entities and calendars at our discretion, including on request. We do not promise that any particular public entity or calendar will be supported or stay supported.
3. Accounts and teams
Eligibility. You must be at least 18 years old and able to form a binding contract. The Services are not directed to children under 13. If you are under 18, you may use the Services only as a member of a team that a qualifying adult or organization manages.
Signing in. You sign in with a Google account. You are responsible for:
- keeping that Google account secure;
- everything that happens under your TownRobin account.
Tell us promptly at support@townrobin.com if you believe your account has been compromised.
Customer accounts and roles. A subscription belongs to a customer account, usually an organization. Each customer account has one owner, and may have admins and members.
- The owner controls billing, cancellation, and deletion of the customer account.
- The owner and admins can invite and remove members, and are responsible for whom they invite.
- By inviting someone, you confirm that you may share their email address with us so that we can send the invitation.
Accurate information. Keep your account information accurate and current.
4. Subscriptions, billing, and cancellation
Plans and pricing. Paid plans are priced per watched calendar, per month. Current prices and the number of team members each calendar includes are shown on our pricing page and at checkout. Volume pricing may apply: the price tier you reach sets the rate for every watched calendar on your account.
Free trial. New customers that have never subscribed may get a 14-day free trial. A credit card is not required to start it.
- If you add a payment method during the trial, your subscription starts automatically when the trial ends, and your payment method is charged. You will see the price before you add it. You can cancel any time before the trial ends and you will not be charged.
- If you have not added a payment method by the end of the trial, your subscription is canceled automatically and paid features stop. You can start a new subscription at any time.
Automatic renewal. Subscriptions renew automatically every month until you cancel. There is no minimum term or minimum purchase. When you subscribe, you authorize us, through our payment processor Stripe, to charge your payment method each month. The charge is the then-current price for the number of calendars you watch, plus applicable taxes.
Changes in quantity. If you add or remove watched calendars, your charges adjust. Stripe may prorate these changes. Your invoice or the billing portal shows the exact amounts.
Price changes. We may change prices. We will email you notice of a price change at least 10 days, and no more than 30 days, before it takes effect, including how to cancel. A new price applies from your next billing period after the notice period ends. If you do not agree to the new price, cancel before it takes effect.
How to cancel. The account owner can cancel online at any time, from Settings → your account → Billing Portal, which opens the Stripe customer portal. Cancellation takes effect at the end of your current billing period. You keep access until then. You may also cancel by emailing support@townrobin.com.
Refunds. Except where the law requires otherwise, payments are non-refundable, and we do not give refunds or credits for partial months.
Taxes. Prices do not include taxes. You are responsible for applicable sales, use, and similar taxes, which we will add to your invoice where required. Tax-exempt organizations, including many public agencies, may send us an exemption certificate.
Invoicing and purchase orders. Customers that need invoices, purchase orders, or vendor registration should contact support@townrobin.com. If you sign a separate order form or agreement with us, it controls where it conflicts with these Terms.
Failed payments. If a payment fails, we may retry it. If it remains unpaid, we may suspend or downgrade your account.
5. Google Calendar and other third-party services
Google account access. When you connect Google Calendar, you allow TownRobin to act in your Google account, within the permissions you grant. This includes:
- creating a TownRobin calendar in your account;
- adding, updating, and removing meeting events on that calendar;
- adding your assignees as event attendees, which causes Google to send them invitations;
- reading the RSVP responses to those events.
If you are a Google Workspace administrator, you may also let us create a shared Workspace resource calendar.
How we use Google data. We use data from Google only to provide and improve the features you use, as described in our Privacy Policy. Our use and transfer of information received from Google APIs complies with the Google API Services User Data Policy, including its Limited Use requirements.
Removing access. You can revoke TownRobin's access at any time in your Google account settings. Calendar sync will then stop working.
Your responsibility for invitations. You choose which attendees we add. Make sure you have their permission to send them calendar invitations.
Third-party services. The Services rely on outside providers, including Google (Firebase and Google Calendar) and Stripe (payments). Your use of those services is also governed by their own terms. We are not responsible for outages or changes in third-party services, including a change in Google's calendar features or permissions that affects sync.
6. Public meeting information
The meeting information in the Services comes from third-party public websites that we do not control. Public entities often change, postpone, or cancel meetings at short notice. Their websites can also be wrong, incomplete, or temporarily unavailable, and our automated collection can miss or misread changes.
As a result:
- Meeting dates, times, locations, agendas, and links in the Services may be wrong, late, incomplete, or missing.
- The official source is always the public entity's own notice or website. Check it before you rely on a meeting, especially for legal deadlines, public comment, filming, or coverage commitments.
- We are not responsible for missed meetings, missed deadlines, or other consequences of relying on information in the Services.
TownRobin is not affiliated with, endorsed by, or acting for any public entity, unless we expressly say otherwise. Public entity names are used only to identify their meetings.
If you see an error, tell us at support@townrobin.com. We will try to fix it, but we do not guarantee that we will or by when.
7. Acceptable use, your content, and intellectual property
Acceptable use. You agree not to:
- use the Services for anything unlawful, or to harass, spam, or send unwanted invitations to anyone;
- copy, resell, sublicense, or redistribute the Services or their data in bulk, or use them to build a competing product;
- scrape, crawl, or make automated requests to the Services, except through features we provide for that purpose;
- probe, test, or circumvent our security, rate limits, App Check, or access controls;
- interfere with the Services or other users, or upload malicious code;
- share accounts or seats in a way that avoids the team-member limits of your plan;
- reverse engineer the Services, except where the law allows it despite this restriction.
You may use public meeting information you find through the Services as the law allows. The restrictions above apply to the Services themselves and to our compiled and organized collection of that information, not to the public records.
Your content. "Your Content" is the information you put into the Services, such as team member names and emails, assignments, calendar nicknames, and filters. You keep ownership of Your Content. You give us a limited license to host, copy, process, and display Your Content only to operate, secure, support, and improve the Services. You confirm you have the rights needed to provide it.
Our property. The Services, including our software, design, and the way we collect, normalize, and organize meeting information, belong to TownRobin and its licensors and are protected by intellectual property laws. The meeting information itself (such as agendas, minutes, and notices) is public information published by public entities. TownRobin claims no ownership of or copyright in it. Materials attached to agendas may belong to others. Subject to these Terms and payment of fees, we give you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal purposes during your subscription. "TownRobin" is our trademark, and TownRobin Nest is an application provided by TownRobin. Do not use our name or logos without our permission. All rights not expressly granted are reserved.
Feedback. If you send us suggestions or feedback, we may use them without any obligation to you.
Copyright complaints. If you believe content in the Services infringes your copyright, email support@townrobin.com with:
- the work you believe is infringed;
- the location of the material in the Services;
- your contact information;
- a statement that your complaint is made in good faith.
8. Disclaimers, limitation of liability, and indemnification
Disclaimer. THE SERVICES AND ALL MEETING INFORMATION ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, TOWNROBIN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. THESE INCLUDE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT CALENDAR SYNC WILL BE TIMELY OR COMPLETE.
Limitation of liability. TO THE FULLEST EXTENT THE LAW ALLOWS:
- TOWNROBIN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. IT WILL ALSO NOT BE LIABLE FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITIES, INCLUDING FROM MISSED OR INCORRECT MEETINGS, EVEN IF ADVISED OF THEIR POSSIBILITY.
- TOWNROBIN'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100.
These limits apply to any theory of liability and even if a remedy fails of its essential purpose. They do not limit liability that cannot be limited by law, such as liability for fraud or for gross negligence or willful misconduct where California law forbids such limits.
Indemnification. You will defend, indemnify, and hold harmless TownRobin and its owner from third-party claims, losses, and costs, including reasonable attorneys' fees, arising from:
- Your Content;
- your misuse of the Services;
- your violation of these Terms or the law;
- invitations or communications you direct us to send.
If you are a public entity that is not allowed by law to give an indemnity, this paragraph applies only to the extent that law allows.
9. Termination, changes, and legal terms
Ending your account. The account owner can delete the customer account in Settings. Deleting it cancels any subscription immediately, with no refund for the remaining period, and removes the account's data as described in our Privacy Policy.
Suspension or termination by us. We may suspend or terminate your access if:
- you materially breach these Terms;
- you fail to pay;
- your use creates a security, legal, or operational risk.
Where reasonable, we will give notice first. If we end the Services for convenience, we will refund any prepaid fees for the unused period.
What survives. Sections 4 (unpaid fees), 6, 7, 8, and 9 survive termination.
Changes to these Terms. We may update these Terms. We will post the new version with a new effective date. For material changes, we will email account owners at least 30 days before the change takes effect. We will ask you to accept the updated Terms the next time you sign in. If you keep using the Services after that, you accept the updated Terms.
Governing law. These Terms are governed by California law, without regard to its conflict-of-law rules. The Federal Arbitration Act governs the arbitration agreement below.
Informal resolution first. Before starting arbitration or a court case, each party agrees to try to resolve the dispute informally for 30 days after written notice. Send notice to support@townrobin.com or our mailing address below.
Binding individual arbitration. Any dispute between you and TownRobin about the Services or these Terms will be resolved by binding arbitration, not in court, except as listed below.
- The American Arbitration Association (AAA) administers the arbitration. It uses its Consumer Arbitration Rules if you use the Services mainly for personal, family, or household purposes, and its Commercial Arbitration Rules otherwise.
- The arbitration takes place in Santa Clara County, California, or by video or phone if you prefer.
- If you are a consumer, we pay the AAA filing, administration, and arbitrator fees beyond what you would pay to file in court, and we pay them on time as California law requires.
- You and TownRobin each give up the right to a jury trial.
Exceptions. Either party may bring an individual claim in small claims court instead. Either party may ask a court for an injunction to stop infringement or misuse of its intellectual property or of the Services. Nothing here waives a right to seek public injunctive relief under California law; any such claim is decided in court after the arbitration ends.
No class actions. You and TownRobin may bring claims against each other only individually, not as a plaintiff or class member in any class, collective, consolidated, or representative action. The arbitrator may not combine more than one person's claims. If this paragraph is found unenforceable for a claim, that claim is decided in court, not in arbitration.
Opting out. You may opt out of this arbitration agreement by emailing support@townrobin.com within 30 days after you first accept these Terms. Opting out doesn't affect the rest of these Terms.
Courts. Any claim not decided in arbitration is decided in the state or federal courts in Santa Clara County, California, and both parties consent to their jurisdiction.
Public entities. Public entities may be subject to laws that override this section. In that case, those laws apply.
Assignment. You may not assign these Terms without our consent. We may assign these Terms, including to a successor business entity that we form, or in a merger, acquisition, or sale of assets.
General.
- These Terms, our Privacy Policy, and any signed order form are the entire agreement between us about the Services.
- If any part of these Terms is found invalid or unenforceable, that part is limited or removed only as much as necessary, and the rest of these Terms remains in full force and effect.
- Our failure to enforce a provision is not a waiver.
- Neither party is liable for delays caused by events beyond its reasonable control.
- We may send notices to the email on your account. You may send notices to the address below.
California users. Under California Civil Code Section 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.
